These Automatic Renewal Service Rules (these "Rules") constitute a supplemental agreement between the User ("you") and DataEyesAI ("we") concerning automatic renewal of Membership Services. These Rules apply to the Automatic Renewal Service available in connection with Membership Services such as Coding Plan, VIP Membership, and Max Membership that you subscribe to, activate, or use (the "Automatic Renewal Service" or the "Service").

By activating or using the Service, you will be deemed to have read, understood, and agreed to accept all provisions of these Rules. If these Rules are inconsistent with the platform's User Agreement, Membership Services Agreement, or any other applicable rule, these Rules shall prevail with respect to matters concerning the Automatic Renewal Service.

1. Service Description

The Automatic Renewal Service means a service under which, after you activate an applicable Membership Service and in order to satisfy your need for uninterrupted use of membership benefits, we, pursuant to your authorization, instruct a third-party payment channel to deduct the fee for the next billing cycle from your linked payment account when the Membership Service expires or is about to expire.

Membership Services include, but are not limited to, Coding Plan, VIP Membership, and Max Membership. The specific types of service eligible for automatic renewal, billing cycles, service prices, benefit content, and scope of application shall be subject to the activation page and your actual subscription record.

Automatic-renewal billing cycles may include monthly, quarterly, annual, or other cycles, as displayed on the service page and actually selected by you.

2. Automatic Renewal Authorization

If you activate the Automatic Renewal Service, you will be deemed to authorize and entrust us, when your subscribed Membership Service expires or is about to expire, to issue a deduction instruction to a third-party payment channel. You also authorize that third-party payment channel to deduct the Membership Service fee for the next billing cycle from your linked third-party payment account, bank card, or other payment account without further verifying your account password, payment password, SMS verification code, or other information.

To ensure a successful deduction, if the balance or available limit of a single payment channel is insufficient, the third-party payment channel may, in accordance with its rules and the payment priority you have set, use combined payment, a backup payment method, or another method to complete the deduction. The specific deduction method, deduction time, and payment rules shall be subject to the functions actually supported and implemented by the third-party payment channel.

The Service requires that your DataEyesAI account be linked to an available payment account, that the payment account be in normal status, and that it have a sufficient balance or available limit for deduction. You shall bear the consequences of a renewal failure caused by an insufficient payment-account balance, insufficient limit, an abnormal account, restrictions imposed by a payment channel, a bank-related reason, a change you make to your payment settings, or other similar reasons.

3. Service Term and Renewal

The Service takes effect on the date you activate it and will remain effective unless you cancel automatic renewal in accordance with these Rules.

Please note in particular: if you do not expressly cancel the Automatic Renewal Service before the end of the current subscription period, we will, pursuant to your authorization, issue a deduction instruction for the next subscription period when the Service expires or is about to expire. Fees deducted pursuant to that authorization will generally not be refunded, unless otherwise required by laws or regulations or expressly undertaken by us.

If a failed deduction interrupts a Membership Service, we may suspend or terminate the corresponding membership benefits. If your payment account returns to normal status and the balance or available limit becomes sufficient, the third-party payment channel or we may initiate another deduction in accordance with the applicable rules. After a successful deduction, your Membership Service and Automatic Renewal Service may resume accordingly.

4. Price Adjustments

You understand and agree that we may adjust the price of a Membership Service based on operating conditions, service content, changes in cost, market conditions, and other factors.

If we propose to adjust the price of an Automatic Renewal Service that you have activated, we will notify you in advance by an appropriate method, including but not limited to an in-platform announcement, page notice, SMS message, email, or other reasonable means. If you do not agree to the adjusted price, you may cancel the Automatic Renewal Service before the deduction for the new billing cycle. If you do not cancel the Automatic Renewal Service, you will be deemed to have agreed that subsequent deductions may be made at the adjusted price.

If you activate the Service again after canceling the Automatic Renewal Service, the service price displayed on the page at the time of reactivation shall prevail.

5. Service Changes

If, after activating automatic renewal for a Membership Service, you wish to change to another Membership Service, package type, or billing cycle, you must first cancel the original Automatic Renewal Service and reactivate the Automatic Renewal Service after selecting the new Membership Service, package type, or billing cycle.

Benefit content, Validity Periods, prices, and applicable rules may differ among Membership Services, packages, and billing cycles. The page display and applicable service rules shall prevail.

6. Cancellation of Automatic Renewal

You may cancel the Service at your discretion. You may cancel or unsubscribe from the Automatic Renewal Service by using any of the following methods:

If you subscribed through Alipay, you may unsubscribe through Alipay: open the Alipay app and select Me > Settings (upper-right corner) > Payment Settings > Password-Free Payment/Automatic Payments, then select and disable the applicable automatic-renewal authorization.

If you subscribed through WeChat, you may unsubscribe through WeChat: open the WeChat app and select Me > Services > Wallet > Payment Settings > Automatic Renewal, then select and disable the applicable Automatic Renewal Service.

If cancellation is supported on the platform page, you may also log in to the applicable DataEyesAI service platform or membership center and follow the on-screen instructions on the page for Coding Plan, VIP Membership, Max Membership, or another applicable service to cancel the automatic subscription or disable automatic renewal.

Please note that a deduction instruction authorized and issued before you cancel automatic renewal remains valid. Fees already deducted by a third-party payment channel based on such a valid instruction will not be refunded, unless otherwise required by laws or regulations or expressly undertaken by us.

7. Third-Party Payment Rules

You acknowledge and agree that if you pay through Alipay, WeChat, a bank card, or another third-party payment channel, you must also comply with that third-party payment channel's service agreement, usage rules, deduction rules, and dispute-handling rules.

If a failed deduction, duplicate deduction, delayed deduction, account restriction, or other abnormality is caused by a third-party payment channel, you may first contact the applicable third-party payment channel. If you require our assistance with verification, you may contact us at the feedback email address specified in these Rules.

8. Notices and Feedback

We may send you notices relating to the Service by in-platform message, page announcement, email, SMS message, telephone, or another reasonable method.

9. Amendments to These Rules

We may amend these Rules based on business development, service adjustments, changes in laws or regulations, or regulatory requirements. After the Rules are amended, we will publish or notify you of the amendment by a reasonable method.

If you do not agree to the amended Rules, you may stop using or cancel the Automatic Renewal Service. If you continue to use the Service after the Rules are amended, or do not cancel the Automatic Renewal Service before the deduction for the next billing cycle, you will be deemed to have accepted the amended Rules.

10. Governing Law and Dispute Resolution

The formation, effectiveness, performance, interpretation, and dispute resolution of these Rules are governed by the laws and regulations of mainland China.

Any dispute arising out of these Rules or the Automatic Renewal Service shall first be resolved through amicable consultation. If consultation fails, either party may submit the dispute to arbitration. The seat of arbitration shall be Haikou City, Hainan Province. The arbitral award shall be final and binding on both parties.
