Welcome to the Paid Services provided to you by DataEyesAI. Please carefully read, understand, and comply with this Agreement.
This DataEyesAI Paid Services Agreement (this "Agreement") applies to your purchase, activation, renewal, redemption, or use of any Paid Service provided by DataEyesAI, including but not limited to membership services such as "coding plan," "vip membership," and "max membership," as well as any other Paid Services subsequently introduced.
By checking a box or clicking to confirm on a page, completing payment, activating a service, redeeming benefits, renewing, or actually using any Paid Service, you acknowledge that you have fully read, understood, and agreed to accept all provisions of this Agreement.

1. Scope of Application#

1.1 This Agreement applies to a User's purchase, activation, renewal, redemption, or use of any Paid Service through any DataEyesAI website, client, application, plug-in, platform, or other service access point.
1.2 The Paid Services under this Agreement include, but are not limited to, membership services such as "coding plan," "vip membership," and "max membership," as well as any other Paid Service that the Company may subsequently add, adjust, or rename. The specific service name, service content, scope of benefits, price, Validity Period, usage restrictions, and other terms shall be subject to the product page, payment page, or service-benefit display at the time of your actual purchase.
1.3 The User Service Agreement, Privacy Policy, product rules, promotion rules, page descriptions, announcements, in-platform notices, customer-service explanations, and other rules published or subsequently published by DataEyesAI are integral parts of this Agreement and have the same legal effect as this Agreement. If this Agreement conflicts or is inconsistent with any of the foregoing rules, this Agreement and the description on the page for the specific Paid Service shall prevail.

2. Definitions#

2.1 "DataEyesAI," the "Company," or "we" means DataEyesAI and/or its affiliates and partners.
2.2 "User" or "you" means any natural person, legal person, or unincorporated organization that registers for, logs in to, purchases, activates, or uses any DataEyesAI Paid Service.
2.3 "Paid Service" means a service through which a User, by paying a fee, using a redemption code, qualifying for a promotion, or using another method recognized by the Company, obtains, for a specified period, particular product features, membership benefits, quotas, model capabilities, priority access, technical services, or other value-added benefits.
2.4 "Membership Service" means a paid membership service provided by the Company, including coding plan, vip membership, and max membership. The scope of benefits, available functions, usage quotas, Validity Period, applicable devices or endpoints, concurrency limits, and other terms of each Membership Service shall be subject to the purchase page, product page, or service-benefit display.
2.5 "Service Fee" means the fee actually paid by a User to purchase, activate, renew, or use one or more Paid Services.
2.6 "Validity Period" means the period during which a User may use a Paid Service and its related benefits after purchasing or obtaining that Paid Service, as displayed on the product page.

3. Acceptance of Agreement and Service Activation#

3.1 Before purchasing, activating, or using any Paid Service, you must carefully read and fully understand all provisions of this Agreement, particularly those concerning charges, non-refundability, suspension or termination of services, limitations of liability, dispute resolution, and other matters that may materially affect your rights and interests.
3.2 By checking a box or clicking to confirm on a page, completing payment, activating a service, redeeming benefits, renewing, or actually using any Paid Service, you acknowledge that you have fully read, understood, and agreed to accept all provisions of this Agreement.
3.3 You must first register for or log in to a DataEyesAI account and complete the purchase, payment, redemption, or activation process in accordance with the on-screen instructions. After completing payment or confirming activation, you may use the applicable Paid Service during the corresponding Validity Period.
3.4 You must ensure that you have the civil capacity appropriate for purchasing and using a Paid Service. If you do not have full civil capacity, you must purchase, activate, or use the Service with the consent and under the guidance of your legal guardian.

4. Membership Service Rules#

4.1 coding plan means a Membership Service offered by the Company for programming, code generation, code comprehension, development assistance, automated workflows, and other use cases. The available models, quotas, functions, response speed, context length, number of calls, concurrency capability, and other terms shall be subject to the purchase page or product page.
4.2 vip membership means a basic or premium membership-benefit service provided by the Company. It may include feature access, increased quotas, priority access, a membership badge, exclusive benefits, and other content, as displayed on the applicable page.
4.3 max membership means a higher-tier membership-benefit service provided by the Company. It may include higher quotas, stronger model capabilities, higher concurrency, higher priority, more functions, or other value-added benefits, as displayed on the applicable page.
4.4 Benefits, prices, Validity Periods, upgrades, downgrades, renewals, stacking, gifts, redemption, and compensation rules may differ among Membership Services. The actual purchase page and system display shall prevail.
4.5 After the Validity Period of a Membership Service expires, if you do not renew or repurchase it, the corresponding membership benefits will automatically expire and your account may revert to ordinary-user status.

5. Restrictions on Use of Paid Services#

5.1 Membership Services and other Paid Services under the same account may be used only by the registered account holder or by a person or entity recognized by the Company. Without the Company's written consent, you may not transfer, rent, lend, sell, share, top up on behalf of another person, purchase on behalf of another person, distribute, or otherwise provide any account, membership benefit, or Paid Service to a third party.
5.2 Based on product form, risk-control requirements, and operational strategy, the Company may limit the number of devices that may log in to the same account, the number of devices simultaneously online, concurrent requests, call frequency, usage quotas, and other matters. The limits displayed on the applicable page, implemented by the system, or notified by the Company shall prevail.
5.3 You may not improperly use any Paid Service by cracking, reverse engineering, scraping, bulk account registration, account sharing, circumventing restrictions, maliciously consuming resources, attacking systems, reselling benefits, or other means.
5.4 If the Company discovers, or has reasonable grounds to believe, that you have engaged in non-compliant use, abnormal use, account sharing, resale of benefits, malicious consumption, conduct that endangers platform security, or conduct that harms the rights and interests of the Company or any third party, the Company may restrict functions, suspend services, terminate services, ban the account, cancel benefits, deny a refund, seek compensation for losses, or take other measures.

6. Fees and Payment#

6.1 The Company has independent pricing authority with respect to its Paid Services. The price, billing method, promotional offers, complimentary benefits, Validity Period, and other terms of each service shall be subject to the purchase page.
6.2 The Company may adjust its fee standards based on market conditions, operational strategy, service costs, adjustments to benefits, and other factors. An adjusted price will take effect on the date it is announced or displayed on the applicable page. In principle, service benefits already purchased and still within their Validity Period will not be affected, but the price displayed at the time of renewal or repurchase shall prevail.
6.3 You must make payment through an official payment channel recognized by the Company. If you purchase, top up, or activate a service through an unofficial channel, abnormal channel, or unlawful means, you shall bear responsibility for any resulting abnormality in benefits, account risk, financial loss, or third-party dispute.
6.4 If you require an invoice, you must submit true, accurate, and complete invoicing information in accordance with the instructions on the Company's page or the requirements of customer service. Invoice rules shall be subject to the scope actually supported by the Company and applicable tax regulations.

7. Automatic Renewal#

7.1 If a Paid Service supports automatic renewal, you may choose to activate a recurring monthly, recurring annual, or other automatic-renewal service in accordance with the on-screen instructions.
7.2 The deduction cycle, deduction time, cancellation method, renewal price, benefit content, and other terms of an Automatic Renewal Service shall be subject to the page description displayed when you activate the service and the rules published by the Company at that time.
7.3 You may cancel automatic renewal in the manner provided by the payment channel or product page. If you do not complete cancellation before the deduction, the system may make the deduction in accordance with the authorized renewal rules.

8. Refund Rules#

8.1 Because Paid Services and membership benefits are generally digital or virtual services, refunds are generally not supported after a service has been activated, benefits have been issued, or use has begun, unless otherwise required by laws or regulations, expressly stated on the product page, or attributable to the Company.
8.2 Before purchasing, carefully verify the service name, account information, price, Validity Period, scope of benefits, and usage restrictions. You shall bear losses caused by your own operational error, selection of an incorrect account, duplicate purchase, failure to cancel automatic renewal in time, failure to fully understand the service rules, or other similar reasons.
8.3 If a Paid Service you purchased cannot be used normally for reasons attributable to the Company, the Company may, based on the actual circumstances, restore the service, extend the Validity Period, reissue benefits, provide substitute benefits, or otherwise address the matter.

9. Suspension and Termination of Services#

9.1 The Company may suspend or terminate some or all Paid Services provided to you in any of the following circumstances:
1.
You voluntarily cancel or terminate the service, close your account, or fail to renew after the Validity Period expires;
2.
You violate this Agreement, platform rules, or laws and regulations;
3.
Suspension or termination is required due to regulatory requirements, judicial or administrative requirements, force majeure, abnormal third-party services, technical failures, or other reasons; or
4.
Other circumstances in which suspension or termination is required by law or contract.
9.2 After a service is suspended or terminated, the Company is not required to continue providing the corresponding benefits, and fees already collected will not be refunded, unless otherwise required by laws or regulations or otherwise undertaken by the Company.
9.3 If the Company suffers any third-party claim, administrative penalty, User complaint, or other loss for reasons attributable to you, you must compensate the Company for the resulting losses and reasonable expenses.

10. Risks and Disclaimers#

10.1 You understand and agree that Internet services may be affected by network conditions, system maintenance, device failures, third-party services, force majeure, policy changes, and other factors, resulting in delay, interruption, abnormal operation, or unavailability of some benefits.
10.2 The Company will use its best efforts to maintain service stability and protect Users' rights and interests. However, to the extent permitted by law, the Company shall not bear liability beyond that required by law for service abnormalities, data loss, payment risks, third-party disputes, or other losses not caused by the Company's willful misconduct or gross negligence.
10.3 You shall bear losses arising where the Company is unable to provide a Paid Service, or an error occurs in providing a service, for reasons attributable to you, including but not limited to account invalidation, loss of an account, suspension of an account, an abnormal payment account, disclosure of a password, improper operation, an erroneous purchase, or an erroneous top-up.
10.4 If the payment process involves services provided by a third party, you must also comply with that third party's agreements and applicable rules. You must resolve any dispute arising from a third-party service directly with that third party, and the Company shall not be liable to the extent permitted by law.

11. Use by Minors#

11.1 If you are under 18 years of age, you must obtain the guidance and consent of your legal guardian before purchasing or using a Paid Service.
11.2 A legal guardian should properly safeguard payment accounts, payment passwords, and related devices, and supervise a minor's reasonable use of Internet services.
11.3 If a minor purchases or uses a Paid Service without the consent of a legal guardian, the guardian may contact the Company using the contact information set out in this Agreement. The Company will address the matter in accordance with laws and regulations, platform rules, and the actual circumstances.

12. Complaints and Contact Information#

12.1 If you have any question, complaint, comment, or suggestion concerning this Agreement, any Paid Service, membership benefits, payment, refunds, your account, or your user experience, you may email chenweixu@dataeyes.ai.
12.2 If a complaint is made against you, or you make a complaint against another person, the Company may, to the extent necessary, provide the relevant party's identification information, contact details, complaint-related content, and other necessary information to the relevant parties or competent authorities in order to resolve the dispute promptly and protect the lawful rights and interests of all parties.
12.3 You must ensure that all information, materials, and evidence submitted in connection with a complaint, feedback, or dispute-handling process are true, lawful, and valid.

13. Governing Law and Dispute Resolution#

13.1 The formation, performance, interpretation, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules.
13.2 Any dispute arising out of or relating to this Agreement or any Paid Service shall first be resolved through amicable consultation. If consultation fails, either party may submit the dispute to the Hainan International Arbitration Court for arbitration in accordance with its arbitration rules then in effect. The seat of arbitration shall be Haikou City, Hainan Province. The arbitral award shall be final and binding on both parties.

14. Miscellaneous#

14.1 If any provision of this Agreement is held to be invalid, partially invalid, or unenforceable, the validity of the remaining provisions shall not be affected.
14.2 The headings in this Agreement are included for convenience only and do not affect the meaning or interpretation of any provision.
14.3 The Company may update this Agreement based on business development, product adjustments, changes in laws or regulations, and other circumstances. The updated Agreement will be published on the applicable page. If you continue to purchase, activate, or use a Paid Service, you will be deemed to have accepted the updated Agreement.
14.4 You and the Company are independent parties. This Agreement does not create any agency, partnership, joint venture, employment, or other similar relationship between the parties.
